Vijay and I have put together a first draft of the charter, trying to capture how people on this list think an IETF working group should address the ALTO problem. An updated version of the problem statement is also available: http://www.ietf.org/internet-drafts/draft-marocco-alto-problem-statement-02.txt Changes should reflect comments received in regards to the previous version, including a more accurate description of how caching relates to ALTO. We are aware that terminology may need to be revised (as pointed out by Dimitri).
